By accessing or using AOCodex ("Service"), operated by Don't Panic Consulting ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

2. Description of Service

AOCodex is an AI platform that provides access to various artificial intelligence models through a unified interface. The Service includes conversation capabilities, file analysis, AI agents, and related features as described on our website.

3. Account Registration

To use AOCodex, you must create an account. You agree to:

5.2 AI-Generated Output

Output generated by AI models in response to your inputs ("Generated Content") is provided to you for your use. You are responsible for reviewing Generated Content before relying on it. We make no warranties about the accuracy, completeness, or fitness of Generated Content for any purpose.

5.3 Our Intellectual Property

The Service, including its design, features, and underlying technology, is owned by Don't Panic Consulting and protected by intellectual property laws. You may not copy, modify, or distribute any part of the Service without our permission.

6. Payment Terms

Certain features of AOCodex require payment. By subscribing to a paid plan, you agree to:

• Pay all fees associated with your selected plan
• Provide accurate billing information
• Authorize recurring charges for subscription plans

Subscription fees are billed in advance on a monthly or annual basis. Refunds are provided in accordance with our refund policy. We reserve the right to change pricing with 30 days notice.

7. Third-Party AI Models

AOCodex provides access to AI models from third-party providers including OpenAI, Anthropic, Google, and others. Your use of these models through our Service is also subject to the terms of service and acceptable use policies of the respective providers. We are not responsible for the behavior, output, or availability of third-party models.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, secure, or error-free
• AI-generated content will be accurate, complete, or reliable
• The Service will meet your specific requirements
• Any defects will be corrected

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DON'T PANIC CONSULTING SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL LIABILITY FOR ANY CLAIMS UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless Don't Panic Consulting and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

11. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. You may terminate your account at any time by contacting us. Upon termination, your right to use the Service ceases immediately, and we may delete your data in accordance with our Privacy Policy.

12. Modifications to Service and Terms

We reserve the right to modify or discontinue the Service at any time. We may also update these Terms from time to time. Material changes will be communicated via email or through the Service. Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Maine, USA, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in Cumberland County, Maine, and you consent to the personal jurisdiction of such courts.

14. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Don't Panic Consulting regarding the Service.
• Severability: If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.
• Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of such right or provision.
• Assignment: You may not assign your rights under these Terms without our consent. We may assign our rights to any affiliate or successor.
